Entraved Master User's Terms and Conditions

These Master Terms and Conditions (“Terms”) form a legally binding agreement between Entraved Pvt. Ltd. (“Entraved”, “we”, “us”, or “our”) and any person who accesses or uses our websites, mobile applications, web applications, portals, online store, content, our official YouTube channel and other official platform presences, or related online services, including any software tool, app, plugin, template, or asset pack that Entraved sells, licenses, or otherwise makes available for use (each, and together, the “Services”). By using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. Section 3.1 explains how these Terms interact with the platforms we operate on, and Section 8.4 sets out additional terms that apply specifically to your use of any software, app, or asset-pack product.
These Terms operate alongside our separate Privacy Policy, Cookie Policy, and any service-specific terms, Statement of Work, Mutual Confidentiality Agreement, Client Services Agreement, Independent Contractor Service Agreement, Confidential Service Agreement, or other project-specific contract signed with Entraved (each, a “Project Agreement”).
1. Who We Are

References to “you” or “user” mean any person who accesses or uses the Services.
2. Acceptance of These Terms
By accessing, browsing, or using the Services, creating an account, submitting content, or clicking “I agree” (where that option is provided), you:

Confirm that you have read, understood, and accepted these Terms.

Agree to comply with all applicable laws and regulations while using the Services.

Represent that you have the legal capacity to enter into a contract under Indian law.
Wherever Entraved requires account creation, content submission, a paid transaction, or entry into a Project Agreement, acceptance of these Terms will be obtained through an affirmative “I agree” or equivalent action, rather than by browsing alone. For general informational browsing of the Services where no such affirmative step is presented, continued use after notice of these Terms constitutes acceptance to the extent permitted by law.
If you are using the Services on behalf of a company or organisation, you represent that you are authorised to accept these Terms on its behalf and bind it to this agreement.
3. Scope of Services
Entraved operates websites, apps, and digital platforms relating to animation, creative content, production services, co-production projects, and related offerings. The Services may include:

Informational content, portfolios, and showreels.

Account-based portals or dashboards.
-
Project collaboration and review tools.
-
Communication and support channels.
-
Forms for enquiries, bookings, recruitment, or vendor onboarding.
-
Our online store and e-commerce checkout for products and services.
-
Software tools, apps, plugins, templates, or asset packs that Entraved sells or licenses for your own use, as further described in Section 8.4.
-
Our official YouTube channel and any other official social media, video-sharing, marketplace, or platform presence that Entraved operates or publishes through, whether now existing or introduced in the future.
Specific products or services may be subject to additional service-specific terms, which will be presented at the relevant point of use.
3.1 Our Online Store and Official Presence on Third-Party Platforms
Where Entraved offers products or services for sale through our online store, these Terms (together with Section 8.4, Section 14, and the applicable product listing) govern that purchase and your use of what you buy.
Where Entraved maintains an official YouTube channel or other official presence on a third-party platform (including social media, video-sharing, marketplace, or app-store platforms), these Terms govern your relationship with Entraved in connection with that content, channel, or store listing — for example, our ownership of what we post, and your conduct when interacting with our official channel. These Terms do not replace, override, or limit the separate terms of service, community guidelines, or privacy policy of the underlying platform (such as YouTube’s own Terms of Service), which continue to apply independently to your use of that platform. If there is a direct conflict between these Terms and the underlying platform’s own terms for a matter that only the platform can control (for example, account suspension by that platform), the platform’s own terms will govern that specific matter.
4. Relationship to Project Agreements
In many cases, your relationship with Entraved is also governed by a signed Project Agreement, such as:

Independent Contractor Service Agreement.

Client Services Agreement (including copyright-reserved terms).
-
Confidential Service Agreement.
-
Mutual Confidentiality / NDA.
-
Statement of Work or related annexures.
If there is any conflict between these Terms and a Project Agreement signed by you and Entraved, the Project Agreement will prevail for that project or engagement. These Terms continue to apply to your general use of Entraved’s websites, apps, and online Services to the extent they do not conflict with the Project Agreement.
5. Changes to These Terms
Entraved may update these Terms from time to time to reflect changes in our Services, technology, business practices, or applicable law. When we make a material change, we will:

Post the updated Terms on the website and, as relevant, within apps or portals; and
-
Where appropriate, notify users by email, in-app notice, banner, pop-up, or other reasonable method.
The updated Terms will show a new “Last Updated” date and will take effect on the stated effective date. Your continued use of the Services after that effective date means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
6. Eligibility and Accounts
6.1 Eligibility
You may use the Services only if you:

Are at least 18 years of age or otherwise able to form a binding contract under Indian law; and

Are not barred under applicable law from using the Services.
If we learn that someone under 18 is using an account in violation of applicable law or our policies, we may restrict or terminate that account.
6.2 Account Registration
Where account creation is required:

You must provide accurate, current, and complete information.
-
You are responsible for keeping your login credentials confidential.
-
You must not share your account or login details with anyone else.
-
You must promptly update any information that becomes inaccurate.
-
You are responsible for all activities that occur under your account, whether or not authorised by you, and must promptly notify Entraved of any suspected unauthorised use.
6.3 Independent Contractors and Onsite Work
Where Entraved engages independent professionals or entities under an Independent Contractor Service Agreement or similar Project Agreement, such engagements are contracts for services only and do not create an employer-employee relationship. Onsite presence requirements and site-security windows exist to protect proprietary and client assets and do not, by themselves, convert such contractors into employees or alter their independent status.
7. User Conduct and Acceptable Use
You agree to use the Services only for lawful purposes and in a manner that complies with these Terms and applicable law, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, each as amended from time to time. In particular, where the Services allow you to host, display, upload, modify, publish, transmit, update, or share information, you must not do so where that information:

Belongs to another person and to which you do not have any right.

Is obscene, pornographic, paedophilic, invasive of another person’s privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, or relates to or encourages money laundering or gambling.

Is harmful to a child.
-
Infringes any patent, trademark, copyright, or other proprietary rights.
-
Deceives or misleads the addressee about the origin of the message, or knowingly and intentionally communicates information that is patently false, untrue, or misleading in nature.
-
Impersonates another person.
-
Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or insults another nation.
-
Contains software viruses or other code designed to interrupt, destroy, or limit the functionality of any computer resource.
-
Violates any law for the time being in force.
Use of the Services to:
-
Damage, disable, overburden, or impair any Entraved server or network.
-
Interfere with any other user’s enjoyment of the Services.
-
Attempt to gain unauthorised access to the Services, other accounts, computer systems, or networks, through hacking, password mining, or other means.
-
Circumvent or attempt to circumvent any security or access-control measures.
-
Scrape, crawl, or copy the Services or content by automated means, except as expressly permitted, is also prohibited.
Entraved may remove or disable access to non-compliant content and suspend or terminate user access for violations of these rules in accordance with applicable law, including the timelines and procedures described in Section 21 below.
8. Intellectual Property
8.1 Entraved Content
All content on the Services, including text, graphics, logos, images, illustrations, animations, video, audio, software, code, and design elements, is owned by Entraved or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Except as expressly permitted by Entraved:

You may not copy, reproduce, modify, adapt, translate, publish, broadcast, transmit, distribute, perform, display, or create derivative works from any content on the Services.

You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices.
-
You may not use Entraved’s trademarks, logos, or trade dress without prior written permission.
8.2 Project-Specific IP Terms
For specific projects and services, IP terms are set out in the relevant Project Agreement or Statement of Work. Examples include:

An Independent Contractor Service Agreement under which all creative or technical work product created by the contractor is owned by Entraved as work-for-hire or by assignment.
-
A Client Services Agreement with “copyright reserved” terms under which Entraved retains copyright ownership while granting the client a limited licence for agreed uses (purpose, territory, term, media).
In each case, the IP and licence terms in the relevant Project Agreement or Statement of Work govern that project and prevail over any inconsistent general statements in these Terms.
8.3 Ownership and Payment Conditions
Unless otherwise agreed in a signed Project Agreement or Statement of Work:

Entraved retains full ownership of all work product, deliverables, and related intellectual property created or supplied by Entraved in connection with the Services until all fees and charges due for that work are received in full and cleared.

No assignment of rights and no licence to use, reproduce, distribute, or exploit any such work product becomes effective unless and until the corresponding payments have been cleared.

If payments are delayed, partially paid, reversed, or not cleared for any reason, Entraved may suspend delivery, disable access, revoke licences, and treat any use of the work product as unauthorised.
8.4 Entraved Products (Software, Apps, and Asset Packs)
This Section 8.4 applies where Entraved makes available a standalone software tool, application, plugin, template, asset pack, or similar product for purchase, subscription, or licence (each, an “Entraved Product”), as distinct from bespoke work delivered under a Project Agreement.
Licence grant. Subject to your compliance with these Terms and payment of any applicable fees, Entraved grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Entraved Product for the purposes, on the number of seats or devices, and for the term (perpetual or subscription) specified at the point of sale or in the applicable product listing or order confirmation. This licence is to use the Entraved Product, not a sale or assignment of it, and Entraved and its licensors retain all right, title, and interest in and to the Entraved Product, including all underlying source code, engines, tools, and proprietary technology.
Permitted and prohibited use. Unless expressly stated otherwise for a specific Entraved Product:

You may use an asset-pack-type Entraved Product (for example, models, textures, rigs, templates, or similar assets) within your own end productions, projects, or deliverables, including productions you sell or license to others, but you may not resell, sublicense, redistribute, or share the underlying asset files themselves as a standalone product, in raw or substantially unmodified form, whether for free or for payment.

You may not copy, reproduce, redistribute, rent, lease, sublicense, or make a software-type Entraved Product (or its source code, in whole or part) available to any third party, except as expressly permitted by the applicable licence tier.

You may not reverse-engineer, decompile, or disassemble a software-type Entraved Product, except to the extent applicable law expressly permits despite this restriction.
-
You may not remove or alter any copyright, trademark, watermark, or licensing notice embedded in an Entraved Product.
-
You may not use an Entraved Product to develop, train, or improve a competing product or a machine-learning or AI model, except as expressly permitted in writing.
-
Where a specific Entraved Product is offered under different licence tiers (for example, personal-use, commercial-use, or extended/enterprise licences), your permitted use is limited to the tier you have purchased or been granted.
Updates and support. Entraved may, but is not obligated to, provide updates, patches, new versions, or support for an Entraved Product, except to the extent expressly promised in the applicable product listing or a separate support agreement. Entraved may discontinue an Entraved Product or a version of it at its discretion, subject to any specific commitments made at the point of sale.
Fees, subscriptions, and refunds. Fees, billing, subscription renewal, and refund terms for an Entraved Product are as described in Section 14 (Payments, Subscriptions, and Refunds) and at the applicable point of sale.
Third-party components. An Entraved Product may include third-party libraries, fonts, plugins, or assets that are separately licensed; where applicable, those licences will be identified with the Entraved Product and continue to apply alongside these Terms.
Term, termination, and effect of termination. Your licence to an Entraved Product continues for the term specified at purchase, unless earlier terminated in accordance with Section 18 (Termination and Suspension) or for non-payment under Section 8.3. On termination of your licence, you must stop using the Entraved Product and, where reasonably practicable, delete or destroy all copies in your possession or control, without prejudice to your continued right to use it in productions, deliverables, or files you have already lawfully created before termination, unless your licence is terminated for breach of this Section 8.4.
No warranty. Entraved Products are provided subject to Section 15 (Disclaimers) and Section 16 (Limitation of Liability). Entraved does not warrant that an Entraved Product will be compatible with your systems, error-free, or fit for a particular purpose beyond what is expressly stated at the point of sale.
9. User Content
If the Services allow you to submit, upload, or share content (such as text, images, comments, or files):

You retain ownership of your content, but you grant Entraved a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform that content for the purpose of operating, improving, and promoting the Services and fulfilling obligations to clients and partners.

You represent and warrant that you have the necessary rights to submit the content and grant this licence.
-
You are solely responsible for your content and for any consequences of posting or sharing it.
-
Entraved may remove or restrict content that it reasonably believes violates these Terms or applicable law, or that is otherwise objectionable.
10. Confidentiality and NDAs
In the course of using the Services or working with Entraved, you may receive, access, or share non-public information belonging to Entraved or its clients, including project materials, unreleased creative work, business plans, pricing, and technical data (“Confidential Information”). You must:

Not disclose or misuse Confidential Information.

Use it only for the purpose for which it was made available.
-
Apply reasonable safeguards to protect it from unauthorised access or disclosure.
Where you have signed a Mutual Confidentiality Agreement, Confidential Service Agreement, Independent Contractor Agreement, or similar NDA with Entraved, that agreement governs your confidentiality obligations, survival periods, and return/deletion obligations, and will prevail over this clause in case of conflict.
11. AI, Originality, and Non-Infringement
For specific projects, your duties regarding originality, use of AI tools, and non-infringement are governed by the relevant Project Agreement. In general:

You must ensure that materials you supply are lawful and non-infringing.

Entraved warrants originality of its work product subject to any licensed third-party materials expressly authorised in the SOW.

Unless expressly agreed in writing, neither you nor Entraved may use the other Party’s work product or Confidential Information to train or improve AI systems. Any AI tool used in a project should be disclosed in the relevant SOW or annexure before use.
12. Data Privacy and DPDP Act
Personal data relating to employees, clients, or other individuals accessed in connection with the Services is treated as Confidential Information and processed only for the purposes of the relevant engagement, in accordance with applicable Indian data-protection law, including the Digital Personal Data Protection Act, 2023, and our Privacy Policy.
Where either Party processes personal data on behalf of the other under a Project Agreement:

Processing occurs only to the extent necessary for performance, on documented instructions.
-
Appropriate technical and organisational safeguards, retention limits, deletion/return obligations, and sub-processor controls are applied as agreed.

The processing party must notify the other without undue delay after becoming aware of any personal-data incident affecting that data and reasonably cooperate in investigating and mitigating the incident.
For general use of the Services, our detailed data-processing practices, rights, and grievance mechanisms are described in our Privacy Policy and DPDP-compliant notices.
13. Third-Party Links and Services
The Services may contain links to third-party websites, platforms, payment gateways, social-media pages, embedded content, or advertisements that are not operated by Entraved. These third-party services are not controlled by Entraved, and:

Entraved does not endorse or assume responsibility for their content, policies, or practices.

Use of third-party services is at your own risk and subject to their own terms and privacy policies.

Any dealings between you and third parties are solely between you and those parties.
This Section 13 does not apply to Entraved’s own official YouTube channel, online store, or other official platform presence, which are addressed in Section 3.1.
14. Payments, Subscriptions, and Refunds
If Entraved offers paid services, subscriptions, or products:

Pricing, taxes, and payment terms will be described at the point of purchase or in relevant service-specific terms or SOWs.

You agree to provide accurate billing information and authorise Entraved or its payment partners to charge the amounts due.

Refunds, cancellations, and returns will be governed by Entraved’s Refund / Cancellation Policy and/or the relevant Project Agreement, which will be made available on the website or at the point of sale.

Consent to any paid feature, subscription, or add-on will be sought through clear, affirmative action, without pre-selected options, misleading urgency, or other practices identified as a dark pattern under the Central Consumer Protection Authority’s Guidelines for Prevention and Regulation of Dark Patterns, 2023.
Nothing in these Terms is intended to limit any non-excludable rights you may have under applicable consumer-protection law, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, where that law applies.
15. Disclaimers
The Services and all content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law:

Entraved does not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Entraved does not guarantee the accuracy, completeness, or reliability of any content, including third-party content or materials.
-
You use the Services at your own discretion and risk.
16. Limitation of Liability
To the maximum extent permitted by law:

Entraved will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Services or these Terms.

Entraved’s total aggregate liability for any claim arising out of or related to the Services or these Terms will not exceed the amount (if any) you paid to Entraved for the relevant service in the six (6) months preceding the event giving rise to the claim.

For projects governed by a Project Agreement, the limitation-of-liability and indemnity clauses in that agreement apply to that project and may cap or exclude damages differently.
17. Indemnity
You agree to indemnify, defend, and hold harmless Entraved, its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Services.

Your violation of these Terms.
-
Your violation of any rights of another person.
-
Any content or material you submit, upload, or share through the Services.
Project-specific indemnity obligations may be defined in relevant Project Agreements and will prevail for those engagements.
18. Termination and Suspension
Entraved may, in accordance with law, these Terms, and any applicable Project Agreement:

Suspend or terminate your website/app account or access to the Services.
-
Remove or disable access to any content that violates these Terms or applicable law.
-
Refuse, move, or remove content submitted through the Services.
-
Establish general practices and limits on Service use.
Entraved may take these actions with or without prior notice if it reasonably believes you have violated these Terms, pose a risk to the Services, or if required by law or a competent authority.
You may terminate your account at any time, but Entraved may retain records as required by law, for legitimate business purposes, or for dispute-resolution, in accordance with its Privacy Policy and any applicable Project Agreement.
Termination, suspension, fees, work-in-progress, and IP consequences for specific projects or services are governed by the relevant Project Agreement and will prevail over this clause for those projects.
19. Governing Law and Jurisdiction
For general use of Entraved’s websites and apps:

These Terms are governed by and construed in accordance with the laws of India.
-
The courts at Barasat, West Bengal shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms and the Services.
For projects governed by a Project Agreement, the governing-law, arbitration seat, and jurisdiction clauses in that Project Agreement apply to disputes arising from that project.
20. Relationship with Privacy Policy and DPDP Act
Entraved processes personal data in accordance with its separate Privacy Policy and applicable data-protection law, including the Digital Personal Data Protection Act, 2023 and the relevant DPDP Rules. These Master Terms and Conditions and the Privacy Policy should be read together.
Our Privacy Policy explains what personal data we collect, how we use it, who we share it with, and your rights.
We publish contact details for a Grievance Officer or privacy contact and operate a grievance-redressal mechanism as required by IT Rules and DPDP obligations.
Use of the Services constitutes acceptance of both these Terms and the Privacy Policy.

Entraved will acknowledge receipt of a complaint regarding content on the Services within 24 hours. Where Entraved acts as an intermediary hosting content submitted by users, Entraved will endeavour to resolve such complaints within the timelines prescribed under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended from time to time — which currently provide for resolution of most content complaints within 7 days, and shorter windows for specific categories (including requests to remove content described in Section 7 above, and content depicting nudity, impersonation, or morphed images).
For complaints relating to a paid product or service, Entraved will acknowledge the complaint within 48 hours and endeavour to redress it within one month, consistent with the Consumer Protection (E-Commerce) Rules, 2020, as amended.
For all other privacy, data-protection, or general grievances, Entraved will acknowledge and endeavour to resolve the matter within 30 days as a matter of internal practice, without prejudice to any shorter or longer period separately prescribed by applicable law.
If a grievance remains unresolved after Entraved’s internal process, you may escalate the matter to the Data Protection Board of India or other competent authority, where applicable.
22. Miscellaneous
Entire Agreement: These Terms, together with any applicable Project Agreements, SOWs, Privacy Policy, Cookie Policy, and other published policies, constitute the entire agreement between you and Entraved regarding the Services.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Failure by Entraved to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms or your rights or obligations without Entraved’s prior written consent. Entraved may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
Language: These Terms may be made available in multiple languages. In case of discrepancy, the English version will prevail unless otherwise specified.
